Terms & Conditions
The terms below outline how we work together — service delivery, payments, and what we each bring to the project.

1. Service Delivery Terms
- Project timelines begin once the initial deposit is received and all required content, brand assets, and access credentials are provided by the client.
- Estimated delivery windows are shared per package at the start of the project. Delays caused by missing client input, scope changes, or third-party tools (hosting, domain providers, payment gateways) extend the timeline accordingly.
- Each plan includes a defined number of revision rounds. Additional revisions beyond the included rounds are billed at standard hourly rates and quoted before work begins.
- Final deliverables are released after full payment is cleared. Source files, admin access, and ownership are transferred to the client upon project completion.
- Ongoing services (marketing, ads management, maintenance) are billed monthly and renew automatically until cancelled in writing with at least 7 days' notice before the next billing cycle.
2. Payment Terms
- A 50% non-refundable deposit is required to begin any project. The remaining 50% is due upon project completion and before final handover.
- Monthly retainers and subscription services are invoiced in advance at the start of each billing cycle.
- Accepted payment methods include bank transfer, credit/debit card, Stripe, PayPal, and Wise. All prices are quoted in USD unless otherwise agreed.
- Invoices not paid within 7 days of the due date may incur a late fee of 5% and pause active work until the balance is cleared.
- Once work has commenced, deposits and milestone payments are non-refundable. Refunds for prepaid services are considered case-by-case and only for work not yet started.
3. Client Responsibilities
- Provide accurate brand assets, product information, copy, images, and any required access (hosting, domain, ad accounts, analytics) in a timely manner.
- Respond to feedback requests, approvals, and revision rounds within 5 business days to keep the project on schedule.
- Maintain valid accounts and budgets for any third-party platforms used (Shopify, hosting, Meta Ads, Google Ads, email tools, etc.). Third-party fees are billed directly by those providers and are not included in our pricing.
- Ensure all content, products, and materials supplied are legally owned by the client or properly licensed. The client is responsible for the legality and accuracy of all provided materials.
- Designate a single point of contact for project communication and approvals to avoid conflicting feedback.
4. Intellectual Property
- Upon receipt of full payment, the client owns all final deliverables, including websites, designs, and creative assets produced specifically for the project.
- Prime Promotions LLC retains the right to display completed work in our portfolio, case studies, and marketing materials unless an NDA is signed.
- Pre-existing tools, frameworks, code libraries, and internal processes used during the project remain the property of Prime Promotions LLC.
5. Cancellation & Termination
- Either party may cancel a one-time project at any time in writing. The client will be billed for all work completed up to the cancellation date.
- Monthly services can be cancelled with at least 7 days' written notice before the next billing cycle. No partial refunds are issued for the current cycle.
- We reserve the right to pause or terminate services in cases of non-payment, abusive behaviour, or requests that violate platform policies or applicable laws.
6. Limitation of Liability
- Prime Promotions LLC is not liable for losses caused by third-party platforms, hosting outages, ad-platform policy changes, algorithm updates, or factors outside our reasonable control.
- Marketing results, ad performance, and revenue projections are estimates based on industry data and cannot be guaranteed.
- Our total liability for any claim is limited to the amount paid by the client for the specific service in question over the preceding 30 days.
